Wego Premium Business Listings Terms & Conditions

These Terms and Conditions Are Legally Binding

Wego Pte Ltd (UEN 200506074G) is the owner and operator of the Wego Premium Business Listings (“Premium Business Listings”) service. Your use of the Premium Business Listings is expressly conditioned on your acceptance of these Wego Premium Business Listings Terms and Conditions (“Terms and Conditions”). By using the Premium Business Listings, you signify that you unconditionally agree and accept to be legally bound by these Terms and Conditions. If you do not agree with any part of these Terms and Conditions, you must not use the Premium Business Listings. No other terms or conditions of any sort in any document, writing or other communication whatsoever made by you to Wego in relation to the Premium Business Listings shall be applicable to or binding on Wego.

The Wego Premium Business Listings Service

The Premium Business Listings enables you to display certain information on the Wego website when a Wego user makes a search that returns your business on the results page. Such information may be a link to the URL of your business’ website, the phone number and/or the email address of your business or property. You will also be able to create coupons featuring discounts or special offers to be displayed in connection with your property.

Grant of License to Use

Wego hereby grants to you a limited, non-exclusive, non-transferable right to use the Premium Business Listings provided that you agree to the following:

  1. Wego may, at its sole and absolute discretion, without prior notice to you and without liability, reject, delete and/or remove any information you have provided to be displayed when using Premium Business Listings which contains information, content or links which do not meet Wego's specifications, or which Wego may consider to be inappropriate. Wego's sole liability in relation to the exercise of its absolute discretion under this paragraph 4(a) is to refund a pro-rata proportion of your pre-paid subscriptions. Without limiting or waiving any right against you that Wego may have under the law or these Terms and Conditions in relation to such inappropriate content, Wego reserves the right to deduct any costs, damages or expenses that it may have incurred in relation to such inappropriate content from your unused pre-paid subscriptions. In addition, in cases which involve fraudulent activity of any type, or inappropriate or malicious content, no refunds will be provided.
  2. You agree to submit, amend and/or withdraw Premium Business Listing information in accordance with any policies that Wego may introduce or amend from time to time. Wego’s policies may relate to technical specifications, privacy, acceptable content, and any other matter, as the same may be amended by Wego, at its absolute discretion, from time to time.
  3. Wego may, at its sole and absolute discretion and without prior notice to you, amend, vary or withdraw the Premium Business Listings service, these Terms and Conditions and/or its website at any time and from time to time.
  4. You shall be solely responsible for the content you provide to Wego for the Premium Business Listing and found on any web site linked to from such information and shall indemnify Wego for, and hold Wego harmless from, all loss, costs, and damages in connection with any claims in relation to the same including those relating to infringement of any third party rights. You also represent and warrant that each such website is owned or operated by you or your independent contractors, is functional and accessible, and does not contain any indecent, inflammatory or other types of content that may render it unsuitable or inappropriate to be linked to from Wego’s website.
  5. You hereby represent, warrant and covenant to Wego that at all times, (a) you have all rights, consents, licences and permits that may be necessary or desirable for you to publish the entire contents and subject matter of all information (including, without limitation, all text, URLs, and web sites to which URLs are linked) you have provided for display on Wego’s website or the websites of its affiliates; (b) all such materials and websites comply with all applicable laws and regulations and do not violate the rights (including, but not limited to, intellectual property rights) of any third party.
  6. You represent and warrant to Wego that you have the full corporate rights, power and authority to agree to these Terms and Conditions and perform the obligations agreed by you, and that doing so does not and will not violate any agreement or obligation to which you are bound, or any applicable law, rule or regulation.
  7. If you choose to create a coupon to enable a customer to redeem your product or service at a discounted rate or make a special offer, you shall accept the coupon in accordance with the terms and conditions of the discount or offer when presented by your guest. You are solely responsible for any issues or problems that may arise in relation to the coupon.
  8. You hereby agree that Wego may, but is not obliged to, use your name and refer to you as a Premium Business Listing user in any publicity, press release, advertising or marketing material, throughout the world and using any form of media. If you wish to use or display Wego's trademarks or mention Wego in any publication, website, press release or in any other manner, you must obtain the prior written consent of Wego.
  9. You acknowledge and agree to have in place at all times a privacy policy in place to govern your use of your customers' personally identifiable information. This policy must comply with all applicable laws, rules and regulations governing the use of such information. You shall ensure that any collection, use and disclosure of information obtained in relation to the Premium Business Listings comply with all applicable laws and regulations.

Payment Terms

The Premium Business Listings enables you to display certain information on the Wego website when a Wego user makes a search that returns your business on the results page. Such information may be a link to the URL of your business’ website, the phone number and/or the email address of your business or property. You will also be able to create coupons featuring discounts or special offers to be displayed in connection with your property.

  1. All sums payable by you to Wego are exclusive of any goods and services tax, or any other taxes that may be levied on the annual subscription charged by Wego. As such, you agree that Wego may charge you for any taxes or charges that Wego is required by any applicable law or regulation to levy on the annual subscription.
  2. You will be able to use the Premium Business Listings service when payment is received by Wego. Annual subscription rates are calculated based on the number of rooms available at your property or properties. Wego reserves the right, without prior notice to you, to terminate or suspend your use of the service, demand immediate payment for any additional monies that would otherwise have been payable if Wego discovers that your property or properties has more rooms than previously disclosed. If Wego exercises its sole and absolute discretion to suspend or terminate your account, you agree that Wego may decide not to refund any unconsumed portion of your pre-paid subscription monies.

Term and Termination.

You may terminate the Premium Business Listings service at any time and Wego will provide you with a pro-rated refund. Wego’s determination of the amount of such refund shall be final. Wego shall have the right to terminate its relationship with you, without prior notice to you, if you breach or fail to comply with any provision of these Terms and Conditions.

Your indemnity in Favour Of Wego

If Wego and/or any of their affiliates (collectively the "Indemnified Parties") takes any action to enforce any of the Terms and Conditions, you agree to indemnify and hold harmless the Indemnified, their affiliates, and their respective officers, directors, employees and agents from and against any and all claims, losses, costs, expenses, causes of action or demands, including reasonable legal and accounting fees, arising out of and relating to your use of the site and the Premium Business Listings, and any and all breaches by you of the Terms and Conditions.

No Warranties

  1. TO THE FULLEST EXTENT PERMITTED BY LAW, WEGO MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND REGARDING ITS WEBSITE, THE PREMIUM BUSINESS LISTINGS, THE PRODUCTS OR SERVICES AVAILABLE ON THIS WEBSITE AND/OR ANY MATERIALS PROVIDED ON THIS WEBSITE, ALL OF WHICH ARE PROVIDED ON AN "AS IS WHERE IS" BASIS. WEGO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY OF THE CONTENT OR DATA FOUND ON THIS WEBSITE. WEGO EXPRESSLY DISCLAIMS ALL WARRANTIES, TERMS AND CONDITIONS IN RELATION TO THE PREMIUM BUSINESS LISTINGS, INCLUDING ALL IMPLIED WARRANTIES, TERMS AND CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A GENERAL OR PARTICULAR PURPOSE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF SINGAPORE.
  2. WEGO DOES NOT WARRANT THAT THIS SITE, ITS SERVERS OR ANY E-MAIL SENT FROM WEGO IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  3. FOR THE AVOIDANCE OF DOUBT, WEGO DOES NOT GUARANTEE THE EFFECTIVENESS OF THE PREMIUM BUSINESS LISTING SERVICE.

Limitation of Liability

  1. TO THE FULL EXTENT PERMITTED BY LAW IN NO EVENT SHALL WEGO BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND OR FOR ANY LOST PROFITS OR LOST SAVINGS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), EQUITY, STRICT LIABILITY, STATUTE OR OTHERWISE, WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (I) ANY USE OF WEGO’S WEBSITE, THE PREMIUM BUSINESS LISTINGS OR CONTENT FOUND HEREIN, (II) ANY FAILURE OR DELAY (INCLUDING, BUT NOT LIMITED TO THE USE OF OR INABILITY TO USE ANY COMPONENT OF THIS SITE), OR (III) THE PERFORMANCE OR NON PERFORMANCE BY WEGO EVEN IF THE OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY.
  2. If, notwithstanding the foregoing, Wego should be found liable for any loss or damage which arises out of or is in any way connected with any of the above described functions or uses of this site, the Premium Business Listings or its content, to the full extent permitted by law the combined aggregate liability of Wego shall in no event exceed the value of the subscription for the Premium Business Listings paid by you or S$1000.00, whichever is lower. Further, Wego's liability to you in contract, tort, negligence, strict liability, under statute or otherwise will be reduced to the extent, if any, to which you contributed to the loss or damage.

General Provisions.

These terms and conditions are governed by the laws of the Republic of Singapore. The parties agree to submit to the exclusive jurisdiction of the courts of the Republic of Singapore. You may not assign its rights hereunder to any third party without the prior written consent of Wego. No joint venture, partnership, employment, or agency relationship exists between you and Wego. If any provision of these Terms and Conditions is found invalid or unenforceable by any Singapore court, the remaining provisions will remain valid and enforceable, and the unenforceable provisions will be deemed modified to the extent necessary to make them enforceable. These Terms and Conditions constitute the entire understanding and agreement between the parties and supersedes any and all prior understandings and/or agreements between the parties in relation to the Premium Business Listings. No purported waiver by Wego of any of its rights hereunder or under any applicable law or regulation shall be valid unless made in writing by an authorised representative of Wego. No change, amendment or modification of any provision of these Terms and Conditions will be valid unless set forth in writing and mutually agreed to by the parties.
